Terms of Service

These Terms of Service govern the Essentials Platform and are accepted by click-through. Enterprise Platform subscriptions are governed by their own agreements executed with an Order Form.

Last Updated: 2026-06-01

1. Agreement to Terms

These Essentials Terms of Service (“Terms”) are a binding agreement between you (“Customer,” “you,” or “your”) and Provisionr, LLC (“Provisionr,” “we,” “us,” or “our”) governing your access to and use of the Essentials Platform Tier of the Provisionr platform, including the cloud-hosted application, command-line interface (CLI), application programming interface (API), documentation, and related services (collectively, the “Service”).

By creating a Workspace, clicking “I Agree,” or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind it, and “Customer” refers to that organization. If you do not agree, you must not access or use the Service.

2. Eligibility

The Service is intended for users who are at least 18 years old and have the legal authority to enter into binding agreements. By using the Service, you represent that you meet these requirements and, if acting for an organization, that you are authorized to bind it. Provisionr does not knowingly collect personal information from individuals under 18 and may refuse access to any individual or organization at its discretion.

3. Definitions

“Active Policy” means a ruleset that manages a Managed Group by syncing its membership based on rules and conditions you define.

“Cadence Tier” means the sync schedule selected for a Managed Group, currently Manual, Automated, Orchestrated, or Governed, as described in the Documentation and on the Pricing page.

“Credit” means the unit of metered consumption for scheduled syncs. One Credit corresponds to one scheduled sync. The per-Credit value and the Credit consumption of each Cadence Tier are published on the Pricing page.

“Customer Data” means all data you or your authorized users submit to or generate through the Service, including user directory information, group membership data, policy configurations, attribute definitions, and audit logs.

“Documentation” means the technical documentation at docs.provisionr.io, as updated from time to time.

“Integrations” means third-party platforms you connect to the Service, including Google Workspace, Okta, GitLab, Slack, and Google Cloud Identity. Connections to Integrations are configured and controlled by you.

“Managed Group” means a Google Group, Okta Group, Slack User Group, GitLab Group, or other supported group whose membership is managed by an Active Policy.

“Provisionr Cloud” means the Provisionr-operated hosting environment for Essentials, currently provided on Google Cloud Platform across the regions listed on the Pricing page.

“Sync” means a single execution of an Active Policy that evaluates rules and applies membership changes to a Managed Group.

“Workspace” means your isolated environment within the Service, including its per-tenant database, encryption key, policy configurations, integration connections, and associated users.

4. Service Description

4.1 Provisionr Cloud Service

Essentials is a policy-based provisioning service that automates group membership across identity providers and SaaS applications. It is hosted in Provisionr Cloud on a subscription basis. Each Workspace is provisioned with a per-tenant database and a per-tenant, column-level encryption key, so Customer Data is not commingled with another tenant’s. On Essentials, the database runs on a shared instance with shared compute, IAM, key management, and network resources. Infrastructure specifications are described on the Pricing page and in the Documentation.

4.2 CLI and API Access

The Service provides a CLI and REST API for programmatic administration of Workspaces, policies, integrations, and data exports, subject to the rate limits and authentication requirements described in the Documentation.

5. Account Registration and Security

5.1 Account Creation

To use the Service, you create a Workspace and must provide accurate, current, and complete information and keep it updated.

5.2 Authentication

The Service supports Sign in with Google and SSO through Google and Okta. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5.3 Service Accounts

You may create service accounts for API and CLI access, subject to the same security obligations as user accounts. You are responsible for securing and rotating service account credentials.

5.4 Unauthorized Access

Notify Provisionr at support@provisionr.io upon becoming aware of any unauthorized access to your account or Workspace.

6. Plan, Pricing, and Payment

6.1 Essentials Platform Tier

Essentials provides the full platform on shared Provisionr Cloud infrastructure, billed on a metered Sync Credit basis. Capacity, Cadence Tiers, and audit log retention are described on the Pricing page and in the Documentation.

6.2 Infrastructure Charge and Sync Pricing

Essentials includes a monthly infrastructure charge, which includes a number of manual syncs, at the rate published on the Pricing page. Syncs are priced per sync and anchored at the manual-sync rate and the scheduled-sync rate published on the Pricing page (manual syncs are priced lower than scheduled syncs).

Each Managed Group assigned a scheduled Cadence Tier (Automated, Orchestrated, or Governed) is billed at a flat monthly rate per group, calculated from the average number of sync events that cadence runs in a month at the scheduled-sync rate. Once a group reaches the maximum number of syncs included in its monthly flat rate, additional syncs occurring on extra calendar days in that month are not billed separately; the monthly rate is flat.

When you enable a scheduled Cadence Tier mid-month, the first partial month is prorated based on the number of days remaining in the calendar month multiplied by the sync frequency, at the scheduled-sync rate. The flat monthly rate takes effect at the start of the following calendar month.

6.3 Buying Methods

You may buy Essentials in two ways: by estimating the Credits needed for the groups you automate, including an estimate generated from your organization chart after you connect your identity provider, or by selecting a fixed Credit budget, including the named fixed-budget packs (Baseline, Growth, Scale) or a custom “bring your own” (BYO) budget. Current pack capacities are published on the Pricing page.

6.4 Credits

Prepaid Credits may be purchased ad hoc, or added to your recurring subscription on the Essentials BYO plan. Prepaid Credits held in reserve for ad-hoc usage expire at the end of the calendar month in which they are purchased unless otherwise specified on the Pricing page. Monthly Credit allocations included in a fixed-budget pack do not roll over from one billing period to the next, and no refunds are issued for unused monthly allocations.

6.5 Free Trial

Provisionr includes a free trial that requires no credit card. A trial Workspace remains active for 30 days from creation. A trial Workspace must be connected to a Google Workspace or Okta tenant within 5 days of creation; trials that are never connected may be deleted earlier as abandoned. At the end of the trial, the Workspace and its data are deleted. Current trial durations are published on the trial and Pricing pages. Provisionr may offer, modify, or discontinue trials and promotions at any time. After the trial, continued use requires a paid subscription.

6.6 Payment Terms

Essentials fees are billed in advance month to month by card or ACH. Payment is due upon invoice. Provisionr accepts payment methods as described at docs.provisionr.io/billing/payment.

6.7 Changes to Pricing

Provisionr may modify pricing with 30 days’ prior written notice. Price changes do not apply retroactively to the current billing period.

6.8 Upgrades and Downgrades

You may change your Cadence Tiers, Credit budget, or fixed-budget pack at any time. Depending on the option you select on the Pricing page, an increase takes effect either immediately or at the start of the next billing cycle; a decrease takes effect at the end of the current billing cycle. You may move from Essentials to an Enterprise tier at any time by executing an Order Form under the applicable Enterprise agreement. Detailed policies are described in the Documentation.

6.9 Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, levies, and duties, excluding taxes on Provisionr’s net income.

6.10 Overdue Payments

If payment is not received within 15 days of the due date, Provisionr may suspend access until payment is received. Accounts overdue by more than 30 days may be terminated.

7. Acceptable Use

7.1 Permitted Use

Use the Service solely to automate identity governance and group membership management within your organization, in accordance with these Terms, the Documentation, and applicable law.

7.2 Prohibited Conduct

You agree not to: (a) violate any law, regulation, or third-party right, including data protection and privacy laws; (b) reverse engineer or attempt to derive the source code of the Service, except as permitted by law; (c) sublicense, resell, rent, lease, or distribute access without prior written consent; (d) transmit malware or malicious code; (e) attempt to access Workspaces, Provisionr infrastructure, or Integration accounts not owned by you; (f) circumvent rate limits, authentication, or other technical restrictions; (g) impair the Service or interfere with others’ use; (h) scrape or harvest data beyond the provided API and CLI; (i) provision access in a manner that violates the principle of least privilege or creates known security vulnerabilities; or (j) collect personal information of others except as necessary for your legitimate identity governance purposes.

8. Customer Data

8.1 Ownership

You retain all right, title, and interest in Customer Data. Provisionr does not claim ownership.

8.2 License

You grant Provisionr a limited, non-exclusive license to access, process, and store Customer Data solely to provide, maintain, and improve the Service. Provisionr will not use Customer Data to train, fine-tune, or otherwise develop machine learning or artificial intelligence models, or to develop functionality for the benefit of other customers, without your prior written consent. Provisionr’s access analytics features run on Provisionr’s own proprietary code and do not rely on or transmit Customer Data to any third-party AI model or service.

8.3 Data Handling

Customer Data is stored in a per-tenant database with a per-tenant, column-level encryption key on a shared Provisionr Cloud instance. Details are available in the Documentation, on the Pricing page, and in the Provisionr subprocessor list.

8.4 Data Export

You may export your data at any time via the CLI, API, or CSV/JSON/YAML export as supported.

8.5 Data Deletion

Upon termination, Provisionr deletes Customer Data within 30 days unless a longer period is required by law. You may request earlier deletion at support@provisionr.io. Records of deprovisioned users are handled on the retention schedule described in the Privacy Policy and data processing documentation.

9. Integrations and Third-Party Services

Your use of Integrations is governed by their own terms and privacy policies. Provisionr is not responsible for the availability, performance, security, or practices of any third-party platform. You are responsible for securely configuring and managing the credentials, OAuth tokens, and permissions used to connect Integrations. Provisionr accesses third-party platforms only as necessary to perform the provisioning and synchronization functions you configure. Integration availability may vary and is not guaranteed.

10. Community and Communication Services

Provisionr may provide community forums, a Slack community, and other channels (“Community Channels”). When participating, you agree not to harass or abuse others; post defamatory, obscene, hateful, or infringing content; advertise or solicit without consent; impersonate others; share another customer’s Workspace data or credentials; or post spam. Provisionr may, but need not, monitor or remove content. Content you post remains yours; you grant Provisionr a non-exclusive, royalty-free license to display and distribute it within the Community Channels.

11. Service Levels and Maintenance

11.1 Support

Essentials includes best-effort support, with responses typically within 1 to 3 business days. Service Level Agreements with committed response times are available only on the Enterprise tiers.

11.2 Availability

Infrastructure availability is not guaranteed for Essentials. Provisionr will use commercially reasonable efforts to maintain uptime, but commits to no specific availability percentage for Essentials.

11.3 Scheduled Maintenance

Provisionr may perform scheduled maintenance on Saturdays between 15:00 and 21:00 UTC, during which sync operations may be temporarily suspended.

11.4 Sync Frequency

Sync frequency depends on the Cadence Tier assigned to each Managed Group: Manual (on demand), Automated (weekly), Orchestrated (weekday), or Governed (every three hours). Sync schedules are targets, not guarantees, and may be affected by maintenance, third-party rate limits, or infrastructure events.

12. Intellectual Property

The Service and all related intellectual property are and remain the exclusive property of Provisionr, LLC. Subject to these Terms and payment of fees, Provisionr grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the subscription term for your internal business purposes. If you provide feedback or suggestions, Provisionr may use them without restriction, and you assign to Provisionr all right, title, and interest in such feedback.

13. Confidentiality

Each party may receive non-public “Confidential Information” of the other, including Customer Data, business plans, technical data, pricing, and security configurations. Each party will use the other’s Confidential Information solely to perform under these Terms, protect it with at least reasonable care, and not disclose it without consent except to personnel or contractors bound by comparable obligations. Confidential Information excludes information that is or becomes public through no fault of the receiving party, was known before disclosure, is independently developed, or is rightfully received from a third party without restriction.

14. Warranties and Disclaimers

Each party represents that it has authority to enter into these Terms and that its performance will not violate applicable law. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PROVISIONR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROVISIONR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT DATA SYNCHRONIZED THROUGH INTEGRATIONS WILL BE ACCURATE OR COMPLETE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU TO PROVISIONR IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. These limitations do not apply to breaches of confidentiality, your breach of the acceptable use restrictions, indemnification obligations, or liability that cannot be limited by law.

16. Indemnification

Provisionr will defend and indemnify you against third-party claims that your use of the Service as permitted infringes a third party’s intellectual property rights, except where the claim arises from your modification of the Service, combination with non-Provisionr products, use outside these Terms, or Customer Data. You will defend and indemnify Provisionr against third-party claims arising from your use of the Service in violation of these Terms or law, or from Customer Data. Each indemnity is conditioned on prompt notice, sole control of the defense, and reasonable cooperation.

17. Law Enforcement and Government Requests

Provisionr will not disclose Customer Data to any government or third party unless compelled by valid and binding legal process. Provisionr will notify the affected Customer before disclosure unless prohibited by law or the legal process, or where notice would create a risk of injury, death, or significant property damage, and will limit any disclosure to the minimum required and challenge requests that are overly broad or legally deficient where reasonable. Provisionr may publish aggregate transparency statistics. In emergencies involving imminent threat of death or serious injury, Provisionr may disclose to the extent necessary and will notify the affected Customer as soon as practicable.

18. Electronic Communications

By using the Service, you consent to receive electronic communications from Provisionr, including service announcements, security alerts, billing notifications, and administrative messages, and you agree that they satisfy any legal requirement that communications be in writing. Transactional communications related to your Workspace cannot be opted out of while your account is active.

19. International Use

The Service is controlled and operated from the United States. If you use the Service from outside the United States, you are responsible for compliance with applicable local laws, including data protection and export control laws. By using the Service, you consent to the transfer, processing, and storage of Customer Data as described in the Privacy Policy. Customers subject to the GDPR or similar laws may request the Data Processing Agreement at support@provisionr.io.

20. Term and Termination

These Terms take effect when you first access the Service and continue until terminated. Either party may terminate at the end of the then-current monthly billing period. Either party may terminate immediately for material breach uncured within 30 days, or upon the other’s insolvency. On termination, your access ceases, you must stop using the Service, Provisionr deletes Customer Data within 30 days unless otherwise required by law, and you may request a data export beforehand. Sections 8 (deletion obligations), 12, 13, 14, 15, 16, 17, 21, and this sentence survive termination.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Disputes not resolved through good-faith negotiation within 30 days will be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Dover, Delaware, or conducted remotely by mutual agreement. Either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

22. Refund Policy

Monthly Essentials subscriptions are non-refundable. Refund eligibility, if any, is described at docs.provisionr.io/billing/refund.

23. Privacy

Provisionr’s handling of personal information is described in the Privacy Policy at provisionr.io/privacy. By using the Service, you acknowledge the Privacy Policy.

24. Changes to These Terms

Provisionr may modify these Terms with at least 30 days’ prior notice of material changes by email or in-Service notice. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may terminate under Section 20.

25. General Provisions

These Terms, with the Privacy Policy and Documentation, are the entire agreement for the Essentials tier and supersede prior agreements on the subject. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Provisionr’s consent; Provisionr may assign in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays from causes beyond its reasonable control. Notices to Provisionr go to support@provisionr.io and to you at your Workspace email. The parties are independent contractors. These Terms create no third-party beneficiary rights.
